General Terms

1. Order
   1. No purchase order shall be deemed to or shall constitute a contract unless confirmed by MFC based on written acceptance. Any special conditions or requirements on buyer's purchase orders are accepted only against written acceptance. 
   2. Order confirmation is subject to delay or non-delivery caused by force majeure, war, political and other unforeseen condition beyond suppliers'/sellers' control.
   3. In case of C. & F. basis, ocean freight is based on the present tariff rate, all subsequent variations, either way, will be for buyer's account.
   4. Insurance, if included in the prices, will be covered at 10% above contract value only. Additional risks and/or higher insured value, if required, will be for buyer's account.
   5. For consignments less than US$ 5,000, handling charges of US$ 400 for Air Freight and US$ 400 for Sea Freight will be added.
   6. Any products proven unable to meet the sealing and design capabilities for which it was produced shall be replaced free of charge including transportation charges, but not the cost of installation, providing that the products are not subject to negligence, accident, or damages beyond our control.
   7. Unless the application information of the sealing products as well as the full consequences of potential claims, and/or any other associated expenses which might result from late deliveries or quality defects, is made known to MFC at the time of quotation request, and a written agreement is established, MFC hereby declares immunity to any subsequent claims which surpass the total value of goods delivered.
2. Quotations are submitted against your inquiries based on the conditions or requirements specified. MFC reserves the right to quote in variance to these conditions. Quotations are effective (valid) for certain duration. (which will be declared on our offers) MFC has the right to adjust the price of purchase orders received after the validation period. *** Buyer has to respect all terms and conditions stated on our quotations unless otherwise agreed.
3. Samples are available upon request, (tooled parts) MFC holds the right to charge for samples offered when necessary. Delivery costs are to be paid by buyer unless otherwise agreed.
4. Packaging of goods shipped shall be in accordance to MFC standard (MFC label) unless otherwise agreed. Special packaging which is in variance with the MFC standard shall subject to extra costs.
5. Payment: Unless otherwise agreed, payment for all goods shall be prior to the production of your order. Open account payments are strictly controlled, should the buyer fail to comply MFC has the right to revise payment term without notice.
6. Delivery time of goods are announced upon our confirmation of the purchase order, however MFC shall not be responsible for delay caused by any unforeseen reasons or design change initiated by buyer.
7. Tooling for all custom-designed (Or customer branded) parts will remain exclusive to produce buyer's parts who have paid for the tooling. However they remain sole property of MFC and under no circumstance shall MFC return them to buyer.
8. Claim-Return: For any shortages or non-conforming goods are to be reported to MFC within 30 days after receipt of goods. Buyer shall not return or scrap or sort goods unless written agreement is received from MFC. Any associated or incidental expenses (such as recall or linedown) above actual price of the product incurred without MFC's approval will not be accepted.
9. Price Lists are available unless disagreed by MFC, buyers has to respect all terms and conditions specified unless otherwise agreed. MFC has the right to declare invalidity of the price lists at any time.
10. Transactions: MFC holds the right to without prior notification, produce and ship +/- 10% of the original quantities ordered for any special custom designed parts.
11. Warranty: MFC, warrants that all products sold shall be free from defects in material and workmanship for a period of one year from date of shipment. At our option, any products prove unable to meet the sealing and design capabilities for which it was produced shall be replaced free of charge including transportation charges, but not the cost of installation, providing that the products are not subject to negligence, accident, or damages beyond our control. All other warranties, expressed or implied, including warranty of merchantability, are hereby disclaimed. We shall not be responsible for consequential or collateral damages such as product recall or line down expenses that are above actual cost of the product.             Buyer/customer is restricted to withhold or deduct any amount of any currency from MFC account receivables unless it has been agreed in advance in written form. Buyer/customer shall forward payment promptly according to the agreed payment terms, MFC reserves the right to take legal actions if the buyer/customer fails to do so.  

    12. Sampling plan: Unless otherwise agreed by both parties, the inspection standard is           implemented per AQL 1.5, C=0.
